Trademark Usage Policy

1. Introduction

This Trademark Usage Policy ("Policy") provides guidelines for the use of Prismic Trademarks by the Authorized User(s).

The marks "Prismic," the Prismic logo, and all other trademarks, trade names, or service marks that Prismic may designate from time to time (the "Trademarks"), along with all associated registrations, are valid and are the sole and exclusive property of Prismic.

"Authorized User" refers to any individual, organization, or entity that has received explicit permission from Prismic, whether through a partnership agreement or other written authorization, to use the Trademarks in accordance with the terms and conditions set forth in this Policy.

The Trademarks may only be used by Authorized Users who have a written agreement with Prismic, wherein Prismic specifically grants a limited, worldwide, non-exclusive, non-transferable license to use and display the Trademarks.

If such a license is granted, the use of the Prismic Trademarks shall be governed by the terms of this Policy, in addition to any conditions agreed upon in the specific agreement. If you do not agree to these terms, you must refrain from submitting a request and are prohibited from using the Prismic Trademarks.

By using our trademarks, the Authorized User agrees to comply with this Policy.

2. Ownership of the Trademark

The Authorized User acknowledges that Prismic retains ownership of all intellectual property rights related to the Trademarks.

3. General Guidelines

• The Trademark(s) must be used in accordance with this Policy and any specific usage guidelines provided by Prismic.
• Prior to the use of the Trademark(s), unless differently agreed, the Affiliate shall inform Prismic by emailing trademark@prismic.io to verify compliance with the trademark policy
• The Authorized User agrees that it will not depict the Trademark in any manner that would denigrate, disparage, tarnish, present in a false light, or otherwise reflect negatively on the Trademark of Prismic. The Authorized User agrees to use the Trademark solely to identify Prismic as business partner or other as defined in the written agreement with Prismic. The use of the Trademark will not be employed to suggest Prismic’s endorsement of the Authorized User unless explicitly agreed upon in writing by Prismic.
• Prismic reserves the right to terminate the Partner’s right to use the Trademark(s) at any time for any reason by providing written notice to the Partner. Upon termination, the Partner must immediately cease all use of the Trademark(s), except as otherwise permitted under applicable law.

4. Prismic Brand Assets

Prismic’s current brand assets include our registered trademarks as well as our company name, product names, logos, content such as articles, copy, case studies, pitch decks and other content created by Prismic.

5. Usage Requirements

• Appearance: The Trademark(s) must be displayed exactly as provided by Prismic and following the guidelines in the brand book provided by Prismic, without alteration.
• Attribution: The Authorized User must include the following attribution statement in any materials that use the Trademark(s): “[Trademark] is a trademark of Prismic, used under permission.”
• Quality Standards: All Authorized User Materials using the Trademark(s) must meet Prismic’s quality standards. The Authorized User must submit samples of such materials to Prismic for review and approval before distribution.

6. Prohibited Uses

• The Trademark(s) must not be used in any manner that implies a false association with Prismic.
• The Trademark(s) must not be used in any manner that is likely to cause confusion, mistake, or deception.
• The Trademark(s) must not be used in any way that disparages or dilutes the reputation of Prismic or its products and services.

7. Compliance and Enforcement

• Prismic reserves the right to review and monitor the Authorized User ’s use of the Trademark(s) at any time.
• If Prismic determines that the Authorized User ’s use of the Trademark(s) does not comply with this Policy, the Partner must promptly correct the non-compliant use.

8. Termination of Use

• Prismic reserves the right to terminate the Partner’s right to use the Trademark(s) at any time for any reason by providing written notice to the Partner.
• Upon termination, the Partner must immediately cease all use of the Trademark(s), except as otherwise permitted under applicable law.

9. Miscellaneous

• This Policy may be updated by Prismic from time to time. The Partner will be notified of any changes.
• Failure to comply with this Policy may result in legal action.
